Terms and Conditions

These Terms and Conditions form a legally binding agreement between you and Apexequityassets for the provision of account services, platform access, market data, execution services, educational content, and connected support features. By creating an account, using any part of the service, or submitting an order, you confirm that you have read, understood, and accepted these Terms and all referenced policies.

1. Definitions and Interpretation

In these Terms, "Platform" means the Apexequityassets websites, applications, APIs, and related interfaces. "Account" means the client profile approved for services. "Order" means any instruction submitted to open, modify, or close exposure. "We", "us", and "our" refer to the operating Apexequityassets legal entity in your account agreement.

2. Eligibility, Capacity, and Account Registration

You must provide accurate identity, residency, and financial suitability information during onboarding. You are responsible for keeping profile data current. We may refuse, suspend, or restrict applications where documents are incomplete, misleading, inconsistent, or otherwise insufficient for legal and regulatory onboarding checks. Accounts may only be used by the registered holder and must not be transferred, sold, or shared.

3. Verification, KYC, and AML Monitoring

We may request additional documentation at onboarding and throughout the account lifecycle to satisfy know-your-customer, anti-money laundering, sanctions screening, source-of-funds, and fraud-prevention requirements. Failure to provide requested documents in a timely manner may result in temporary account restrictions, delayed withdrawals, or suspension of services.

4. Platform Access and Security Controls

You are responsible for login credentials, device security, session control, and unauthorized-access reporting. We may enforce multi-factor authentication, session timeouts, and credential resets to protect your account. Activity from your credentials is treated as authorized unless reported promptly and verified as misuse. You must maintain up-to-date software, secure networks, and anti-malware controls on any device used to access the Platform.

5. Service Availability and Technical Performance

We target high-availability service but do not guarantee uninterrupted access. Outages may arise from maintenance, third-party dependencies, market data interruptions, force majeure events, or capacity controls. We may limit features, throttle activity, or disable specific functions temporarily to protect platform stability and customer accounts.

6. Market Data, Analytics, and Informational Content

Quotes, charts, alerts, news, and analytics are provided for informational purposes and may be delayed, incomplete, or corrected post-publication. Such content is not personalized investment advice. You remain solely responsible for evaluating strategy suitability and execution decisions.

7. Orders, Execution, and Trade Confirmations

Orders are executed subject to market liquidity, available margin, pricing integrity checks, and product availability. In fast markets, slippage and partial fills may occur. We may reject or reprice orders where quotes are stale, clearly erroneous, or otherwise inconsistent with market integrity safeguards. Trade confirmations, account statements, and platform records are the official source of executed transactions.

8. Pricing Integrity and Manifest Error

If a transaction is executed at a price resulting from an obvious system, feed, or technical error, we reserve the right to cancel, amend, or restate the affected trade and related account entries. Decisions are made using available market evidence, execution logs, and internal controls, and we will provide notice where feasible.

9. Fees, Costs, and Charges

Your account may incur spreads, commissions, overnight financing, conversion costs, and third-party transfer fees. Applicable costs are published in the product schedule and can change with notice where required by law. You remain responsible for all charges linked to your account activity and chosen funding method, including chargebacks, reversals, or intermediary fees where applicable.

10. Margin, Leverage, and Close-Out Rules

Leveraged products can amplify gains and losses. You must maintain sufficient equity to satisfy margin requirements at all times. We may reduce leverage, reject new orders, or close positions where margin thresholds are breached or where market conditions create exceptional risk. Margin rates may be adjusted before significant events or during periods of elevated volatility.

11. Funding, Withdrawals, and Payment Controls

Deposits and withdrawals are subject to verification, fraud controls, and payment network rules. We may require additional checks before processing withdrawals, especially where account behavior indicates unusual activity. Returned payments, rejected transfers, and third-party bank fees may be charged back to your account.

12. Taxes and Reporting

You are responsible for determining and meeting your own tax obligations. We may provide transaction statements or regulatory tax forms where required, but such materials are not tax advice. Where applicable law requires withholding or reporting, we may process such actions without prior approval.

13. Prohibited Conduct

You must not attempt platform abuse, market manipulation, latency exploitation, credential sharing, reverse engineering, or use of stolen payment instruments. We may investigate suspicious activity and take immediate protective actions including account suspension and report escalation to competent authorities where legally required.

14. Third-Party Services and Integrations

The Platform may include third-party content, APIs, app-store channels, charting services, and data providers. Availability and quality of third-party services are outside our direct control. Your use of such services may also be subject to third-party terms, licensing, and operational limitations.

15. Demo Accounts and Educational Features

Demo accounts are for simulation and education only. Pricing, liquidity, slippage, and execution behavior in demo mode may differ from live market conditions. Results achieved in demo environments do not predict or guarantee future live performance.

16. Intellectual Property

All software, pricing displays, analytics, interface designs, and content are protected by intellectual property law. You receive a limited, non-transferable license for personal or approved business use. No ownership rights are transferred to you by account access. Unauthorized copying, scraping, republication, or commercial resale of platform content is prohibited.

17. Communications and Electronic Notices

You consent to receiving service notices, policy updates, statement alerts, and compliance communications electronically through email, in-platform messages, or app notifications. You are responsible for maintaining valid contact details and monitoring communication channels associated with your account.

18. Account Suspension, Restriction, and Termination

We may restrict or terminate services where required by law, where risk controls indicate unacceptable exposure, or where these Terms are materially breached. Upon termination, open obligations, unsettled charges, and legal hold requirements may continue until fully resolved.

19. Inactive Accounts

We may classify accounts as inactive after prolonged periods without qualifying activity. Inactive accounts may be subject to additional verification before reactivation and may incur maintenance handling according to the published fee schedule where permitted by law.

20. Corporate Actions and Product Adjustments

Product terms may be adjusted for dividends, stock splits, symbol changes, mergers, delistings, and other corporate actions. We may apply corresponding account adjustments to preserve economic equivalence as reasonably determined under our operational procedures.

21. Force Majeure

We are not liable for failure or delay in performance caused by events beyond reasonable control, including major infrastructure disruption, cyber incidents, natural disasters, government actions, exchange closures, or telecommunications outages.

22. Liability and Risk Statement

Trading involves risk of financial loss, including losses exceeding initial margin where permitted. Educational content is informational and not personal investment advice. To the maximum extent permitted by law, our liability is limited to direct losses caused by proven breach of duty, excluding indirect, consequential, incidental, punitive, or special damages. Nothing in these Terms excludes rights that cannot be excluded under applicable law.

23. Indemnity

You agree to indemnify and hold harmless Apexequityassets and affiliated entities from claims, liabilities, losses, and costs arising from your breach of these Terms, misuse of services, unlawful conduct, or infringement of third-party rights.

24. Complaints and Dispute Resolution

Complaints can be submitted through the support channels listed in the Contact page. We will acknowledge and investigate complaints in line with internal procedures and applicable regulatory standards. If a dispute remains unresolved, escalation routes may include mediation, arbitration, or regulatory ombuds channels where available.

25. Governing Law and Jurisdiction

These Terms are governed by the law identified in your account agreement. Subject to mandatory consumer protections, disputes will be resolved in the specified courts or dispute forums of that jurisdiction.

26. Amendments to These Terms

We may amend these Terms to reflect legal, regulatory, technical, or product changes. The latest version will be published with an updated effective date. Continued account usage after notice constitutes acceptance of the revised Terms unless prohibited by applicable law.

27. Entire Agreement and Severability

These Terms, together with incorporated policies and product schedules, form the entire agreement between you and Apexequityassets regarding the services. If any clause is found unenforceable, remaining provisions remain in full force to the extent permitted by law.
